Section-N0 -1(one)

Section No. 01 (One) 01. Introduction:
Bangladesh is a developing country with a population of 140 million. Most of the people in this country currently live in cities. But they don’t live in a peaceful environment.  Apart from urban areas, poverty, social degradation, injustice and tyranny, superstition, religious fundamentalism etc. have appeared prominently in the rural areas. The government is making relentless efforts through its various hospitals to improve the quality of life of the people in urban as well as rural areas. In addition to the development activities of the government, non-government voluntary organizations can play an important role.
Our aim and objective is to bring the large population of Bangladesh under the structure of physical and mental organizational development and make them self-reliant. In order to implement this objective, initiatives were taken to establish a  voluntary social welfare organization for the social and physical development of the population.
The organization is established as a non-political and non-communal service organization for the development of the community as Disabled Welfare Foundation (DWF).

Section No. 5 (Five)

05. Objectives and goals of the organization:

This organization is a voluntary non-political organization. Irrespective of religion, caste, development activities will continue for the welfare of the ultra-poor people of the area. This organization will play a leading role in carrying out the following activities within its financial capacity.

(01) Child Welfare Program:
A child is not only a symbol of life. He is a valuable asset of the entire society or nation. Starting from mother's womb till certain age, welfare measures will be taken as below.

(a) Child Education:
Children's schools will be established with the aim of making them self-reliant and self-evaluator by providing them with quality education since their well-being largely depend on proper education.

(b) Nutritious food:
Nutritional training will be provided to the mother as the child needs nutritious food for healthy physical and mental development.

(c) Protection of children's affection and mother-child health:
For social reasons and personality development of children, mother-child health protection and treatment will be provided for maternal health and nutrition without various types of medicine supplies and training on maternal nutrition.

(02) Focus on Family Planning:
Planned birth control techniques, virginity, late marriage, self-restraint etc. are called family planning, family planning does not mean aborting the baby but controlling the birth. In this regard, awareness will be created among the public of the area. Moreover, family planning will be implemented with the following written objectives among the residents.

(1) The number of family members shall be determined in a planned manner.
(2) Care should be taken to protect the health of mother and child, preventing unwanted child birth.
(3) A space of time between births of two children shall be advised.
(4) Necessary steps will be taken to enable infertile couples to bear children.
(5) By establishing clinics, mother and child hospitals, eye hospitals and diagnostic centers for the implementation of family planning activities through this organization, service activities will be conducted and implemented among the population.
(03) Welfare of physically and mentally disabled persons:
Through this organization, efforts will be made to manage and implement the welfare programs of the physically and mentally disabled people in the working area and development efforts will be made keeping in view the needs.
(04) Youth Welfare Program:
By mobilizing the marginalized youth of urban/rural areas, work will be done to create unity among them and develop them as industrious self-reliant citizens. Establishment of public entertainment center of village youth society, arrangement of seminars, exhibitions and conferences.
1. Training in fisheries, chick production, animal husbandry, poultry farming, computer training, nurseries etc. will be provided for employment of unemployed youth in urban/rural areas.
2. Initiative will be taken to make the youth and young women self-reliant and to achieve overall welfare.
3. Initiative will be taken to de-addiction the youth society.
4. By bringing confidence, self-awareness and self-respect among the youth, they will be made to work for the development of the society with the help of their self-power.

(05) Women welfare programs:
By organizing the backward women under the scope of this organization, they will improve their self-reliant and normal life quality through various material training for liberation from saving mentality, child marriage, dowry system, divorce, religious dogma.
(06) Welfare programs for socially disadvantaged persons:
Through this organization, all the welfare programs of socially disadvantaged persons will be taken and managed and implemented.
07) Social education of elderly and incapable people:
Through this organization, employment-based economic activities will be launched for the purpose of improving economic and social standards by organizing the elderly and disabled men and women. Men and women training programs will be managed and implemented.
(08) Coordination Program of Social Welfare Institutions:
Through this organization, for overall cooperation with the government/non-government social development organizations, working on the basis of maintaining communication and joint coordination and maintaining communication with various voluntary social welfare organizations and discussing about the activities will be implemented.

  (09) Other social development programs including socio-economic activities:
Through this organization, for the purpose of economic and social development of unemployed poor women and men, they will be supported in various economic activities through training and training, and they will be given special assistance in income-generating activities and advice on socio-economic activities.
(10) Welfare programs for the destitute and beggars:
Through this organization, arrangements will be made to manage and implement the welfare activities of the poor and beggars under its jurisdiction.
  (11) Welfare and full housing program for released prisoners:
Arrangements will be made to accept and manage and implement the welfare and rehabilitation programs of released prisoners through this organization.
(12) Patient welfare and rehabilitation programs:
Through this organization arrangements will be made to take up and manage and implement welfare and full programs for the helpless and poor and distressed patients.
(13) Training programs in social welfare work:
Through this organization, arrangements will be made to receive and manage and implement training programs in social welfare work among all the communities under its purview.
(14) Through this organization, government, non-government, donor organizations will receive, receive and pay government loans and foreign aid and grants will be accepted.
(15) Social development program:
Through this organization, arrangements will be made to accept and manage and implement all social development programs among all the communities under its jurisdiction.

Section No. - 06 (six)
06. Membership:
a) Eligibility for membership:
Elderly educated/literate healthy minded simple and fair-unemployed youth/youths of the area who are interested in working under the organization can become members/members as per the rules by bringing confidence to the organization.

b) Category of Member:
(1) Main patron:
Any person from the class of individuals who are educated, fair, knowledgeable and prominent social workers or organizations engaged in the responsibility of local administration and who are interested in providing full cooperation and good advice for the welfare of the organization, as per the decision of the working committee, such a person will be the main patron of the organization.



(2) Patron:
Any person from the category of individuals who are educated, just, knowledgeable and prominent social workers or organizations engaged in the responsibility of local administration and who are willing to fully cooperate in this organization and provide good advice for the welfare of the organization, as per the decision of the working committee, such person will be the patron of this organization.

(3) Founder Mem:
The person who has established the organization as a result of selfless and tireless efforts is the founding member of the organization.

(4) Life Member:
A person who is interested in the establishment of this organization and voluntarily donates land or anything immovable is a life member of this organization.

(5) Donor members:
A person who donates BDT. 5,000/- and above for the development of this organization and donates goods of equivalent value is a donor member of this organization. His/her name will be recorded in the list of donor members.

(6) General Members:
Under the umbrella of the organization, the elderly educated/literate, healthy minded, simple and sincere, and interested in the development work of the organization, such unemployed youth/young women are general members of the organization.

(c) Rules for admission of members:
Eligible persons mentioned in Section No. (a) should collect an admission application form by depositing 50 (fifty) Taka to the treasurer of the said organization and duly fill the form and submit the membership application form to the executive director of the organization. All the applications received for admission will be selected and listed by the Executive Director and the executive committee meeting will be convened by the President and the members of the said meeting will discuss and review the application forms and reach a final decision regarding the admission of members. All Executive Committees have the power to reject admission applications or admit members. All the persons who will get the membership should submit the demanded membership fee at the rate of Taka 100/- (one hundred) monthly subscription at the rate of Taka 50/- (fifty) within 7 (seven) days of receiving the letter and if they fail to deposit the entire amount within the stipulated time. The membership obtained by him will be considered cancelled.



(d) Responsibilities, duties, rights and privileges of members and posts of various councils

(1) Main Patron:
He will not be able to hold any position in the executive council. Always be aware of financial support efforts including providing advice for the development of the organization. Will assist in the implementation of every activity of the organization with fairness and honesty. He himself will not be able to enjoy any kind of facilities from the organization.
(2) Patron:
He cannot hold any office in the executive council. Always be aware of financial support efforts including providing advice for the development of the organization. He will assist in the implementation of every activity of the organization with honesty and integrity. He himself will not be able to enjoy any kind of facilities from the organization.
(3) Founder members:
According to the decision of the executive council regarding the management of the organization, he will carry out the overall responsibility of the organization, including carrying out huge responsibilities and duties. Can contest for any post of executive council with voting rights. The name of the founding member will never expire.
   (2) Life Member:
According to the decision of the executive committee, any responsibilities of the organization can be performed by a life member and shall not have the right to vote and may not contest elections.
  (3) Donor members:
Work on the development of the organization. There will be no contestation and voting power in elections.
4. General members:
General members can form the Executive Committee by selection or by proposal and support and will always be committed to the development of the organization. They can contest for any post of the Executive Committee. If the executive committee is deadlocked, they can convene a meeting to reach a final decision. Moreover, according to the decision of the executive committee of the party, the core position of the executive can be temporarily assigned to any one of the general members. Ordinary members have a lot of responsibilities and duties towards the organization and can enjoy various benefits from the organization.
Section No. 7 (Seven)
07. Temporary suspension and cancellation of membership:
a) If the subscription is not paid for 6 (six) months after obtaining the membership.
b) Absent for 3 (three) consecutive meetings.
c) Doing any work contrary to the interests of the organization.
d) In case of death or mental disorder or financial instability.

Section No. 8 (Eight)
8. Branches of the organization:
Currently there is no branch of the organization, so it is not applicable.

Section No. 9 (No)
9. Organizational structure:
a) Name of the management committees of the organization: Powers and responsibilities of the General Assembly, Advisory Council, Executive Council.

(1) General Council:
The executive council will be formed through the selection or proposal and support of the members of the general council. Facing any kind of complications or any new plan, including approval of the annual budget, final account of income and expenditure, amendment, modification, expansion and addition to the constitution, must be presented in the general assembly meeting. The final decision can be reached. If there is chaos within the executive committee, the decision will also be taken at the meeting of the said council. The development and activity of the organization depends on the general council. The organization can enjoy all the opportunities and benefits provided by the organization.
(2) Executive Council:
The Executive Council, which has all the powers of the organization, has the power to accept new plans for the welfare of the organization and implement the budget and plan, manage the activities, admit members of the general council and reject applications. If any member works for the detriment of the organization, he can be expelled from the organization after being found guilty. Moreover, he will try to facilitate the income of the organization by adopting new methods for collection of various types of subscriptions and will be able to supervise all the goods of the organization, appoint and dismiss employees, along with the implementation of all the decisions of the general assembly.

(3) Advisory Council:
The executive council will be formed. An advisory council will be headed by one person. Social welfare or experienced persons will be nominated as Advisory Council members. The Advisory Council will provide advice and suggestions to the Executive Council of the organization on various structural issues.
(b) The number of members/designation of the executive council is mentioned separately on the basis of the designation and responsibility:

01. Chairman:
The Chairman shall preside over each meeting. S/he resolves if there is a tie for or against any proposal of the organization. S/he will be considered as the main person and will supervise all the activities. He will oversee the interpretation and regulation of the Constitution.
2. Vice Chairman:
To assist the Chairman in all work and perform the duties of the Chairman in his absence. However, no financial transactions can be made without the written permission of the chairman.
03. Executive Director:
He is the chief executive of the organization. He will convene the meeting of the executive and general council on the instructions of the chairman. Managing and overseeing all the activities of the organization, he can accept all the plans including communication with the government and private institutions on behalf of the organization. He will supervise all the work. Take final decisions for the development of the organization. He will take steps to implement the decisions of the Executive Council including collection and use of capital, proper management of functions. In managing the annual budget and report presentation and other responsibility based programs.
06. Treasurer:
He shall keep proper accounts of all types of income and expenditure of the organization. According to the rules, after keeping the account of income and expenditure, get the signature of the responsible persons. The organization's documents and accounts will be audited by an authorized person of the registration authority. Assist the Executive Director while presenting the expenditure account in the general meeting. In addition, prepare the annual budget of the organization and submit the income and expenditure report and keep all the accounts.
11. Executive member:
The chairman/executive director of the organization shall properly fulfill the responsibilities assigned by implementing the decisions and may perform the duties and responsibilities in the vacant positions of the executive council.

Section No-10 (Ten)
(10) Selection and selection process:
(a) General Council:
The general assembly means the general assembly or the general assembly of ordinary members, donor members, lifetime members and founder members, there is no separate assembly of this organization. Donor member donates one time money or goods. Life Member - If the land is donated and the founder member whose untiring efforts the organization is established, the ordinary members can get the ordinary membership by paying admission fee and monthly subscription as per the rules of the organization.
(B) Working Executive Council:
The working executive council will be formed for 03 years through the selection or proposal and support of the general council. At the end of the term of the executive council, a general meeting will be convened and the executive council will be formed after discussion and review in the presence of the members of the meeting. The newly formed Executive Council must be approved by the Registrar.

(c) Advisory Council:
The Advisory Council will be elected by the newly elected Executive Council at the end of 03 years i.e. after the election of the Executive Council. If the newly elected executive committee feels that the previously formed advisory committee is sufficient for the management of the organization, then the previous committee will remain in force unless there is a need to form a new advisory council.

Section No-11 (Eleven)

(11) Activities conducted by the organization and project officer/employee appointment rules:
As per the decision of the executive council, the officers/employees of the organization will be appointed as per the prevailing recruitment rules.

Section No-12 (Twelve)
(12) Rules of meeting:
          Rules for convening various meetings:
1) General Meeting:
A general meeting may be convened one or more times in a year by the members of the general assembly. Various matters including the final calculation of the annual expenses of the organization, approval of new activities, presentation of annual report, amendment of sub-sections of democracy and approval of discussion of changes will be discussed in the said meeting.
2) Executive Council meeting:
A meeting of the executive council shall be convened once every month or once in three months by the members of the executive council. Development of the organization, implementation, financial improvement, management of various programs and the meeting of the executive council will be convened based on various issues.
3) Emergency meeting:
Coordination of executive committee members and coordination of general assembly members will be convened in urgent need.
4) Special meeting:
Special meetings shall be convened at any time between the two said councils based on the present matter of the organization.
           b) Time of notice of meeting:
1) General Meeting:
At the time of convening the general meeting, every member will be informed 15 days before the date of the meeting by mentioning the date, time, place and topics of discussion through notice.
2. Executive Council meeting:
At the time of convening the meeting of the executive council, the members of the executive council will be informed at least 7 days before the meeting by mentioning the date, place, time and topics to be discussed.
3. Emergency meeting:
In case of calling an emergency meeting of the general council, the general members should be informed at least 7 days before the meeting organizer by mentioning the place, time and date of the meeting through a notice and 3 days before the emergency meeting of the executive council.
4. Urgent meeting:
If an emergency meeting is required, the meeting will be held on 24 hours’ notice to the members of the executive council and the members of the executive council.
        c) Quorum of the meeting:
1. The quorum of the meeting will be completed by the presence of two parts of the members of the General Council.

Section No-13 (thirteen)
  13. Annual Management:
A) The financial transaction of the organization shall be made through the bank. In case of financial transactions, a savings account will be opened in the name of the organization in any scheduled bank near the area.
b) The account shall be opened and managed through any one or two of the chairman, executive director and treasurer of the said account organization. The account of money deposited in the bank will always be kept up-to-date by the bank.
c) Funds collected in the name of the organization shall not be deposited under any circumstances. Funds will be credited to the organization as soon as they are received. If the Chairman and Executive Director raise more than Rs.5,000/- to meet the expenses of any organization, the approval of the Executive Committee shall be given.
d) Before spending the money required by the organization and if any new money is required to be withdrawn, the approval of the Executive Council must be obtained. Along with spending all raised money, the money spent should be approved in the working council meeting. Moreover, the annual general meeting should approve all expenses and pass the budget.
e) The accounting documents of the organization shall be open for inspection by the Directorate of Social Services. Besides, audit will also be done by the registered organization. The persons appointed by the Registrar may audit any accounts and at the end of the year all the accounts of the organization shall be presented for audit by the local Social Services Department.
f. Fund creation of the organization:
The fund of the organization will be created by the monthly subscription of the ordinary members of the organization and the help of charitable individuals, donations received from various voluntary organizations at home and abroad.

Section No-14 (Fourteen)

   14. Authority to call a meeting of ordinary members:
Two-thirds of the total members of the organization can convene a general meeting for the following reasons.
a) In case of chaos and conflict among the elected executive committee members of the organization
b) If the meetings of the Executive Committee are not convened at the appointed time.
c) If the organization is headed for dissolution by the functioning of the Executive Committee.
If any of the above-mentioned reasons occur, the general members will get together and give a period of 15 days to the Chairman and Executive Director for correction. If they fail to resolve, then two-thirds of the total members can convene a meeting. All decisions taken at the meeting and taken unanimously will be considered final.

Section No. 15 (Fifteen)
    15. Amendment of the Constitution:
If there is any special reason to amend or change any section, sub-section, or expansion after approval of the democracy of the organization, then after convening a meeting of the general assembly, amend the constitution and approve it in the presence of two-thirds of the general assembly, and then it will be submitted it to the registration authority for final approval. will be presented. It shall be deemed effective if approved by the registration authority.



Section No. 16 (Sixteen)

    16. Abolition:
If for any specific reason three-fourth of the total members of the organization come a consensus to dissolve the organization, then the opinions of that meeting should be submitted to the registration authority along with the certificate of dissolution from the Social Service Officer. The dissolution of the organization shall be deemed final upon approval by the registration authority.

Note: This guide has been prepared in the light of prevailing government policy. However, it can be amended from time to time according to government directives and in the interests of the organization.
